Ten years after Facebook acquired Instagram for $1 billion, the transaction is no longer viewed merely as a defensive move to secure mobile photo-sharing dominance. Instead, it serves as the archetype for ecosystem synergy, where the value of an acquisition is defined by the underlying network of developers and partners. Modern mergers and acquisitions in the technology and industrial sectors are increasingly evaluated by how well a target’s third-party complementors—app developers, data providers, and automation specialists—can be integrated into the parent company’s infrastructure.
The mechanism of value creation in these deals follows three distinct paths: strengthening, attracting, and connecting. When Adobe acquired the e-commerce platform Magento in 2018, the move did more than add retail functionality to Adobe’s suite; it brought a specialized community of developers who could leverage Adobe’s cloud to build more robust applications. This strengthening of existing connections makes the core platform more attractive to new users, creating a cycle of reinvestment from third-party partners who see higher returns on the merged infrastructure.
Identifying these synergies requires a shift in due diligence. Beyond looking at talent, intellectual property, and infrastructure, executives must now map how a target firm reshapes relationships across a digital landscape. For Zendesk’s 2019 purchase of Smooch, the strategic prize was not just the messaging technology itself, but Smooch’s integrations with WhatsApp and Salesforce and its developer community building chatbots. By internalizing these ecosystem positions, the acquirer gains a degree of cooperational power that traditional market-share metrics fail to capture.
